Terms of Service

1. Acceptance of Terms

By accessing or using the Isignali platform ("Service"), operated by Isignali Technologies (Pvt) Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including advertisers, advertising agencies, regulatory bodies, and platform administrators.

2. Description of Service

Isignali provides an independent radio advertising verification platform that monitors radio station streams, uses audio fingerprinting technology to detect registered advertising clips, and generates timestamped proof-of-play records. The Service is designed to assist advertisers, agencies, and regulators in verifying that paid advertising has aired as scheduled on radio stations across Zimbabwe and Africa.

3. User Accounts and Registration

To access the Service, you must register for an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorised use of your account.

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations in Zimbabwe or any other jurisdiction.
• Upload advertising clips or audio content for which you do not hold the necessary rights, licences, or permissions.
• Attempt to circumvent, disable, or interfere with the security features, fingerprinting algorithms, or monitoring infrastructure of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to harass, defame, or harm radio stations, broadcasters, or other users.
• Transmit malware, viruses, or any other harmful code through the Service.
• Resell, sublicence, or commercially exploit the Service without our prior written consent.

5. Intellectual Property

All intellectual property rights in the Service, including but not limited to the platform software, audio fingerprinting algorithms, user interface designs, and documentation, are owned by or licenced to Isignali Technologies (Pvt) Ltd. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it as described herein.

You retain ownership of the advertising audio clips and associated metadata you upload to the Service. By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to process, store, and analyse that content solely for the purpose of providing the Service to you.

6. Data and Verification Records

Isignali generates proof-of-play records based on automated audio fingerprint matching. While we strive for high accuracy, these records are provided on an "as available" basis and may be subject to technical limitations including stream quality, network interruptions, or fingerprint matching thresholds. Verification records should be considered strong evidence but not infallible legal proof.

You are responsible for the accuracy of the ad clips you register. Misregistration of clips may result in false positive or false negative detections. We accept no liability for business decisions made solely on the basis of Isignali verification data.

7. Payment and Subscription

Certain features of the Service are available under paid subscription plans. By subscribing, you agree to pay all applicable fees as described on our Pricing page. Fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Isignali Technologies (Pvt) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us at [email protected]. Sections 5, 6, 8, 9, and 12 of these Terms survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
